3. Project Enquiries and Agreements
Submitting an enquiry through our website does not automatically create a service agreement.
Before starting a project, we will discuss your requirements, scope of work, deliverables, estimated timeline, and pricing.
A project officially begins once both parties agree to the proposed terms and any required initial payment has been received.
Any additional requirements outside the agreed scope may require a separate quotation.
4. Pricing and Payments
All project costs will be communicated and agreed upon before work begins.
Depending on the project, payments may be structured as:
An initial deposit before development starts.
Milestone-based payments during the project.
A final payment before project handover or launch.
Invoices must be paid within the agreed payment period.
We reserve the right to pause work if payments are overdue. Any additional costs arising from changes, new requirements, or third-party services will be discussed with you in advance.
5. Project Timelines and Client Responsibilities
We aim to deliver projects within the estimated timelines agreed upon with our clients.
To help keep projects on schedule, you are responsible for providing:
Required content, images, branding, and other materials.
Website access, hosting credentials, and relevant third-party account access.
Feedback, approvals, and requested information within a reasonable timeframe.
Delays in receiving required materials, feedback, or approvals may affect the agreed delivery schedule.
6. Changes and Revisions
We understand that project requirements may evolve during development.
Reasonable revisions within the agreed project scope will be handled according to the original agreement.
Requests involving additional features, significant design changes, new integrations, or expanded functionality may require additional time and payment.
We will communicate any additional costs before proceeding with out-of-scope work.
7. Website Ownership and Intellectual Property
Upon receipt of full payment, ownership of the custom work specifically created for your project will be transferred to you, subject to applicable third-party licenses and the terms of the original agreement.
The following remain subject to their respective ownership and licensing terms:
Third-party themes, plugins, libraries, frameworks, and software.
Stock images, fonts, graphics, and other licensed assets.
Open-source software and third-party integrations.
We retain ownership of our pre-existing tools, reusable code, development methods, and internal resources.
We may request permission to display completed projects in our portfolio. Client work will not be publicly shared where confidentiality or a written agreement prohibits it.
8. Third-Party Services and Integrations
Some projects may involve third-party platforms and services, including payment gateways, hosting providers, APIs, email marketing platforms, plugins, and external software.
We are not responsible for:
Changes to third-party services or their pricing.
Service interruptions or outages outside our control.
Third-party security vulnerabilities or policy changes.
Account restrictions or decisions made by external providers.
Clients are responsible for maintaining their own third-party accounts and applicable subscriptions unless otherwise agreed.
9. Hosting, Maintenance and Support
Where hosting, maintenance, or ongoing support services are included, the scope and duration will be agreed upon separately.
We aim to maintain website performance, security, and functionality through appropriate updates and technical assistance.
However, we cannot guarantee uninterrupted website availability or complete protection against all security threats.
Clients are responsible for maintaining backups and renewing applicable domain names, hosting plans, licenses, and subscriptions unless these responsibilities are specifically included in our agreement.
10. SEO Services and Performance
Our SEO services may include technical SEO, keyword research, on-page optimization, content recommendations, local SEO, and performance reporting.
SEO results depend on several factors, including competition, search engine algorithms, website history, content quality, and market conditions.
We do not guarantee specific search engine rankings, traffic levels, leads, or sales.
Search engine algorithms and policies may change without notice, and we cannot control those changes.
11. Confidentiality and Data Protection
We respect the confidentiality of our clients’ business information, project details, login credentials, and other non-public materials.
We will take reasonable steps to protect information shared with us during a project and will use it only for legitimate business and service-related purposes.
Clients are responsible for ensuring they have the necessary rights and permissions to share any personal data or materials provided to us.
12. Limitation of Liability
We aim to provide reliable and professional services. However, to the extent permitted by applicable law, The WebCoder shall not be liable for:
Indirect, incidental, or consequential losses.
Loss of revenue, profits, business opportunities, or data.
Issues caused by third-party services or providers.
Problems arising from unauthorized changes made by clients or other parties.
Failures resulting from circumstances beyond our reasonable control.
Nothing in these terms excludes liability that cannot legally be excluded under applicable law.
13. Project Cancellation and Refunds
If a client wishes to cancel a project, they must notify us in writing.
Payments for completed work, resources already purchased, and services already delivered are generally non-refundable, subject to applicable law and the agreed project terms.
Any outstanding payment for work completed before cancellation remains payable.
If we need to discontinue a project, we will communicate the situation and discuss an appropriate resolution based on the work completed and payments received.
14. Termination of Services
We reserve the right to suspend or terminate services if a client:
Breaches these Terms & Conditions.
Fails to make agreed payments.
Provides misleading or unlawful information.
Uses our services for illegal or harmful activities.
Where reasonably possible, we will provide notice and an opportunity to resolve the issue before termination.

We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, or legal requirements.
